According to Panama’s Corporation Law,
two or more persons, even though not citizen or resident of the Republic
of Panama, may organize a local corporation known in spanish as “Sociedad
Anónima” or S.A. for any lawful purpose. Panama Corporations
names can be in any language and must include one of the following corporate
suffixes:
- Inc.
- Incorporated
- Corp.
- Corporation
- AG
Under
the Law in Panama, corporations must file Articles of Incorporation, under
the form of public deed, at the Republic of Panama Public Registry Office.
The standard procedure to form a corporation in Panama is to resort to
Panamanian attorneys who, acting on behalf of the client, file the Articles
of Incorporation, and then assign their rights to theClient. |

Procedures for Establishing a Panamanian Corporation |
|
|
|
- The name and domicile
of each of the subscribers of the Articles of Incorporation, i.e., the
incorporators.
- The name of the
corporation, which shall not be the same nor similar to that of another
existing Panamanian corporation.
- General purpose
for which the corporation is organized, that is, commercial, shipping,
trading, etc., and which may be ample and general.
- The proposed capital
structure of the corporation, or its authorized capital, including the
number and classes of shares, whether with or without par value, whether
bearer or nominative (registered) shares, and if there are to be shares
of different classes, the number of shares in each class, the designations
and relative rights, preferences and limitations.
In connection with the above, it should be noted that the amount of
the authorized corporate capital and the par value of the shares may
be expressed in currency of the Republic of Panama, or in legal currency
of any country, or in both.
- The number of
shares that each of the subscribers to the Articles of Incorporation
agrees to take.
- The domicile of
the corporation, which may be in Panama or elsewhere, as well as the
name and domicile of its Resident Agent in Panama, who must be an attorney
or an attorney's firm in Panama.
- The duration of
the corporation, which may be perpetual.
- The full names
and addresses of at least three directors.
- Appoint the first
officers of the corporation consisting of at least a President, a Secretary
and a Treasurer. Which can be the suscribers.
A new corporation
can be established within 3 to 5 business days and there is an Annual
Corporate Tax of US$250.00.
